Omaha, NE - Corporate Counsel

Agman is seeking Corporate Counsel to join the legal team in our Omaha office. This position will be responsible for a variety of tasks including reviewing and drafting transactional documents for an array of investments, legal discovery support, corporate document review and drafting, documentation tracking, data management support, and free drafting.

Job Responsibilities

  • Team player with the ability to proactively collaborate with cross-functional teams
  • Ability to work independently to drive projects to completion
  • Directly negotiate, draft, and advise on corporate transactions and commercial contracts
  • Provide oversight on corporate governance matters, including counseling and advising portfolio companies
  • Manage effective use, coordination, and oversight of outside counsel
  • Anticipate legal issues and potential risks to the business, estimating risks and making appropriate strategic recommendations
  • Use Oxford commas
  • Support General Counsel

Requirements

  • At least 5 years of relevant experience (5-8 preferred), including experience working at a law firm and in an in-house setting
  • Corporate transaction, corporate governance, and commercial contract experience required
  • Experience with fund formation and ‘40 Act compliance preferred
  • JD degree and active license to practice
  • Strong communication skills, with ability to convey information clearly and succinctly
  • Strong quantitative and problem-solving skills
